A nomination committee wasset up on 1 February 2012 with written terms of references to review thestructure, size and composition (including the skills, knowledge andexperience) of the Board at least annually and make recommendations on anyproposed changes to the Board to complement the Company’s corporate strategy.The nomination committee comprised five members, namely, Mr. Zhang Wei, Mr. Wong Ming Fair Victor, Mr. Chan Ngai Fan, Ms. Cheung Yin Man Monicaand Mr. Li Wei ofwhich the majority members of the nomination committee, except Mr. Zhang Wei and Mr. Wong Ming Fair Victor, all are being independent non- executive Directors. Therole and function of the nomination committee include to identify individualssuitably qualified to become Board members and select or make recommendationsto the Board on the selection of individuals nominated for directorships and tomake recommendations to the Board on the appointment or reappointment ofdirectors and succession planning for directors, in particular the chairman ofthe Board and the chief executive. The nomination committee is chaired by Mr. Chen Ngai Fan.
